Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Mistle’s software, documentation, and related tools, including the website mistle.dev, and all related software made available by Ajourney Technologies Pte. Ltd (doing business as Mistle) to build, deploy, host, and manage software projects (collectively, the “Service”). By using the Service, you agree to these Terms.

1. User accounts

You must create an account to access the Service. By registering, you authorize Mistle to store and use your account information as necessary to provide the Service. You are responsible for maintaining the confidentiality of your login credentials.

2. Privacy policy

Please refer to Mistle’s Privacy Policy for details on how we collect, use, and disclose your information. Your use of the Service is also subject to the Privacy Policy, which we may update periodically.

3. Proprietary rights

Generated Content / AI‑Assisted Content

When using Mistle’s AI‑powered features, you retain full ownership of all outputs produced (e.g. code, text, content). We do not claim any proprietary rights to it. You grant Mistle a royalty‑free, non‑exclusive license only to use those outputs to operate and improve the Service.

Mistle’s Intellectual Property Rights

Definition. “Mistle Content” means any content (e.g., text, graphics, software) that Mistle makes available through the Service. All content provided through the Service is considered Mistle Content unless otherwise stated. Ownership. Mistle and its licensors exclusively own all rights in the Mistle Content, the Service website, and the Service (collectively “Mistle IP”). Except for the limited license below, these Terms do not grant you any proprietary rights in Mistle IP. You agree not to remove, alter, or obscure any proprietary notices on the Service or Mistle Content. Feedback. Any feedback or suggestions you provide are voluntary. Mistle may freely use, copy, disclose, license, or distribute that feedback without obligation to you. License to Mistle Content. Subject to your compliance with these Terms, Mistle grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and download Mistle Content solely for your own use of the Service website and Service.

4. General prohibitions

You agree not to (and not to enable others to):

  • Use the Service in any unlawful or unauthorized manner.
  • Introduce harmful code or engage in deceptive, abusive, or disruptive behavior, including attempts to bypass security measures or reverse engineer any part of the Service.
  • Impersonate others or misrepresent your affiliation.
  • Use outputs from the Service in violation of applicable laws, third-party rights, or Mistle’s policies. You are solely responsible for verifying the legality and appropriateness of any such use.

5. Other services

The Service may allow you to integrate or enable third-party products, services, or applications (“Other Services”). Your use of Other Services is governed solely by their respective terms and conditions, and not by these Terms. Mistle does not endorse or assume any responsibility for the content, privacy practices, or data security of Other Services. By choosing to integrate or enable any Other Service, you acknowledge that:

  • You are subject to that Other Service’s terms, including its privacy policy.
  • Mistle is not liable for any damages or losses arising from your use or reliance on Other Services.
  • You waive any claims against Mistle related to your use of Other Services.
  • You authorize Mistle to share your account credentials or content as necessary to facilitate the integration with such Other Services.

6. Warranty and disclaimer

Mistle will use reasonable efforts to maintain the Service in a manner that minimizes errors and interruptions. The Service may be temporarily unavailable for scheduled maintenance or due to factors beyond Mistle’s control. Whenever possible, we will provide advance notice of scheduled downtime. HOWEVER, Mistle PROVIDES THE SERVICE ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTY OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, NOR DO WE MAKE ANY WARRANTY REGARDING THE RESULTS YOU MAY OBTAIN FROM USE OF THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, Mistle DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

(a) Neither Mistle nor its suppliers, officers, affiliates, contractors, or employees will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities. (b) The limitations above apply to any claim arising from your use of the Service, this Agreement, or any related subject matter, including breach of contract, tort (including negligence), or otherwise.

8. Indemnification

You agree to indemnify and hold harmless Mistle, its affiliates, officers, employees, and licensors from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Term; Termination; Suspension

9.1 Term of Agreement

These Terms and your use of the Service remain in effect until terminated by either party.

9.2 Termination by Notice

Either you or Mistle may terminate these Terms by providing at least thirty (30) days’ written notice to the other party.

9.3 Immediate Suspension or Termination

Mistle may immediately suspend or terminate your Account or access to the Service (with or without notice) if: (a) Mistle suspects a violation of these Terms; (b) Your actions may cause legal liability or material harm to Mistle; (c) Mistle determines you have misrepresented data or engaged in fraudulent/illegal activities; or (d) You are behind on fees and fail to remedy the non-payment within five (5) days after notice.

9.4 Effects of Termination

Termination does not affect any rights or obligations that arose prior to termination. Mistle is not liable for any costs or damages resulting from termination.

9.5 Limited Access Rights

After termination, Mistle may permit you to access your Account in a limited capacity to retrieve information. Mistle may revoke this access at its sole discretion if it believes you have breached Section 6 or any other part of these Terms.

9.6 Survival

Any provisions that by their nature should survive termination (e.g., confidentiality, IP ownership, disclaimers) will remain in effect.

10. Changes to the Agreement or Service

10.1 Changes to these Terms

Mistle may update or modify these Terms at any time, at our sole discretion. If we make material changes, we will post the revised Terms on the Service website or notify you through other means (such as email) at least 30 days before the change takes effect. By continuing to use the Service after these changes take effect, you agree to the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

10.2 Changes to the Service

Because the Service evolves over time, we may change, suspend, or discontinue any part of the Service website, Service, or Mistle Content at any time, with or without notice, at our sole discretion.

11. General

This Agreement, including all applicable Service Terms, constitutes the entire agreement between you and Mistle regarding the Service website, Service, and Content. It supersedes all prior understandings or agreements, whether oral or written. This Agreement may only be modified by a written amendment signed by both parties or as otherwise provided in Section 10. If any provision of this Agreement is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, so the rest of this Agreement remains in full force and effect. You may not assign, transfer, or sublicense this Agreement without Mistle’s prior written consent. Mistle may transfer and assign any of its rights and obligations under this Agreement without your consent. In any action or proceeding to enforce these Terms, the prevailing party will be entitled to recover costs and attorneys’ fees.

12. Governing Law

This Agreement shall be governed by the laws of Singapore without regard to its conflict of laws provisions.
