These Terms of Service (“Terms”) govern access to and use of Mistle Cloud, the hosted service operated by Ajourney Technologies Pte. Ltd. (doing business as Mistle) (“Mistle,” “we,” “us,” or “our”). By accessing or using Mistle Cloud, you agree to these Terms.

Mistle Cloud includes the hosted website, application, APIs, gateway services, sandboxes, integrations, triggers, billing, support, telemetry, and related hosted services that we operate. These Terms do not govern self-hosted Mistle deployments or use of Mistle’s open-source software, which are governed by the applicable repository license and by the policies of the operator of that deployment.

1. Accounts and organizations

You may need an account to use Mistle Cloud. You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for notifying us if you believe your account has been compromised.

Mistle Cloud is organized around customer organizations. Organization owners or administrators may manage members, settings, billing, integrations, sandbox profiles, sessions, triggers, and other organization resources. If you use Mistle Cloud through an organization, that organization may control or access activity, Customer Content, settings, and billing information associated with the organization.

2. Customer Content

“Customer Content” means data that you, your organization, your agents, or your connected systems submit to Mistle Cloud, including prompts, agent messages, repository contents, sandbox files, terminal output, logs, generated code, integration event payloads, and provider metadata.

You retain ownership of Customer Content. You grant Mistle a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, reproduce, and use Customer Content as needed to provide, secure, support, troubleshoot, and improve Mistle Cloud; enforce these Terms; comply with law; and act on your instructions.

You are responsible for Customer Content, including ensuring that you have the rights and permissions needed to submit it to Mistle Cloud and to have it processed by agents, sandboxes, integrations, and Customer-Configured Services.

3. Agent output and human review

Mistle Cloud helps teams run background agents in sandboxes. Agents may generate code, commands, explanations, pull requests, messages, configuration changes, or other output. You are responsible for reviewing, testing, approving, deploying, merging, sending, or otherwise relying on that output.

Mistle does not guarantee that agent output is accurate, secure, lawful, non-infringing, production-ready, or suitable for your use case. You should maintain backups, use version control, review agent actions, and apply appropriate human oversight before using agent output or allowing agents to act through connected services.

4. Customer-Configured Services

Mistle Cloud may allow you to connect or configure third-party services for your organization, such as source-code hosts, chat systems, issue trackers, observability tools, model providers, or other external systems (“Customer-Configured Services”).

Customer-Configured Services are chosen or authorized by you or your organization, not by Mistle as Mistle Cloud Providers. You are responsible for:

  • ensuring you have authority to connect each Customer-Configured Service;
  • choosing scopes, permissions, API keys, apps, workspaces, and accounts appropriately;
  • complying with the terms and policies of each Customer-Configured Service;
  • authorizing Mistle Cloud to access, transmit, and process Customer Content through those services as needed for your configured workflows; and
  • monitoring actions agents take through those services.

Mistle is not responsible for Customer-Configured Services, their availability, their security, their processing of Customer Content, or their compliance with your obligations.

5. Mistle intellectual property

Mistle and its licensors own Mistle Cloud, including the hosted service, website, software used to operate the hosted service, designs, documentation, trademarks, and related materials, except for Customer Content, third-party materials, and Mistle open-source software made available under its applicable open-source license.

Subject to these Terms, Mistle grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the hosted Mistle Cloud service for your internal business purposes. These Terms do not limit any rights you receive under an applicable open-source license for Mistle open-source software. You may not copy, modify, reverse engineer, resell, sublicense, or misuse the hosted Mistle Cloud service except as permitted by law, by an applicable open-source license, or by a separate written agreement.

If you provide feedback or suggestions, you grant Mistle the right to use them without restriction or compensation.

6. Acceptable use

You may not use Mistle Cloud, or allow others to use Mistle Cloud, to:

  • violate law, third-party rights, or third-party service terms;
  • gain unauthorized access to systems, accounts, networks, data, or services;
  • create, distribute, or operate malware, phishing, credential theft, spam, abuse, or harmful automation;
  • bypass or interfere with authentication, rate limits, sandbox controls, network controls, credential brokering, monitoring, or security features;
  • overload, disrupt, scan, scrape, crawl, or attack Mistle Cloud or third-party systems in an abusive or unauthorized way;
  • hide, misrepresent, or falsify agent activity, identity, attribution, or connected-account usage;
  • submit sensitive personal data, regulated data, or secrets unless your organization has determined Mistle Cloud is appropriate for that use; or
  • use agent output or connected-service actions in a way that violates law, third-party rights, or these Terms.

We may investigate suspected violations and may suspend or terminate access where needed to protect Mistle Cloud, customers, third parties, or the public.

7. Beta and experimental features

Mistle Cloud is an early-stage service and may include beta, preview, experimental, or rapidly changing features. Sandboxes, persistent storage, snapshots, triggers, agent runtimes, integrations, and related workflows may fail, lose state, behave unexpectedly, or change without notice.

You should not rely on Mistle Cloud as the sole copy of critical data. You are responsible for maintaining appropriate backups, source control, review processes, and operational safeguards.

8. Fees and billing

Some parts of Mistle Cloud may require payment. You authorize Mistle and its payment processors to charge applicable fees, taxes, and other amounts using the payment method you provide. Pricing, plans, usage limits, credits, and billing periods may be described on the website, in the app, in an order form, or in another written agreement.

Fees are non-refundable except where required by law or expressly stated by Mistle. We may change prices or plans prospectively. If payment fails or fees are overdue, we may suspend or terminate access to paid features or the organization.

9. Privacy

Our Privacy Policy explains how we collect, use, and disclose information. By using Mistle Cloud, you agree that we may process information as described in the Privacy Policy.

10. Suspension and termination

You may stop using Mistle Cloud at any time. Either party may terminate these Terms by giving written notice unless a separate written agreement provides otherwise.

We may suspend or terminate access immediately if we believe you violated these Terms, created security or legal risk, misused Mistle Cloud, failed to pay fees, or used Mistle Cloud in a way that could harm Mistle, customers, third parties, or the public.

After termination, we may retain or delete data according to the Privacy Policy, legal requirements, backup and security practices, and any separate written agreement.

11. Disclaimers

Mistle Cloud is provided “as is” and “as available.” To the fullest extent permitted by law, Mistle disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and error-free operation.

Mistle does not guarantee that Mistle Cloud will be uninterrupted, that Customer Content will be retained or recoverable, that agents will produce correct or safe output, that sandbox or credential controls will prevent all misuse, or that third-party providers will remain available.

12. Limitation of liability

To the fullest extent permitted by law, Mistle and its affiliates, officers, employees, contractors, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, code, systems, or Customer Content.

To the fullest extent permitted by law, Mistle’s total liability for all claims relating to these Terms or Mistle Cloud will not exceed the greater of the amounts you paid to Mistle for Mistle Cloud in the three months before the event giving rise to liability or USD 100.

13. Indemnification

You will indemnify and hold harmless Mistle and its affiliates, officers, employees, contractors, licensors, and suppliers from claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from your Customer Content, your use of Mistle Cloud, your Customer-Configured Services, your violation of these Terms, or your violation of law or third-party rights.

14. Changes

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, sending email, or notifying you through Mistle Cloud. Changes take effect when posted or as otherwise stated in the notice. Your continued use of Mistle Cloud after changes take effect means you accept the updated Terms.

15. General

These Terms, together with any referenced policies and any separate written agreement between you and Mistle, are the entire agreement for Mistle Cloud. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, corporate reorganization, or transfer of Mistle Cloud.

16. Governing law and contact

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules.
